Mission
Art. 8. - § 1. The General Assembly is the sovereign authority of the institution. It has the powers expressly recognised by law or these articles of association.
§ 2. In accordance with Art. 9:12 of the Companies and Associations Code, a resolution of the General Assembly is required for:
1° the amendment of the Association's statutes;
2° the appointment and dismissal of members of the board of directors, including the rector and the General Administrator;
3° the appointment and dismissal of the auditor and the setting of his or her wages;
4° the discharge to be granted to the directors and the auditor;
5° the approval of the Association's budgets and annual accounts;
6° the dissolution of the Association;
7° the exclusion of a member;
8° the transformation of the Association into a social purpose company.
§ 3. Pursuant to these Articles of Association, the following shall also fall within its competence :
1° the amendment of the Charter and the declaration of mutual commitment between UNamur and the Society of Jesus, as well as the procedure for amending them, in agreement with the Society of Jesus;
2° approval of the annual management report as defined in Article 3:48 § 2 of the Code of Companies and Associations presented by the Board of Trustees;
3° the power to issue opinions, proposals or recommendations to the Board of Trustees and/or the Rector's Council concerning the fundamental orientations and objectives of the University in terms of teaching, research and service to society, as well as on strategic issues;
4° the individual appointment of persons proposed by the rector for a vice-rectorate following the presentation of a detailed strategic plan established for the duration of the rector's term of office, as well as their possible dismissal;
5° the adoption and promulgation of the University's organic regulations governing its internal organisation. The organic regulations are subject to these statutes. In the event of any incompatibility between the statutes and any provision of the organic regulations, the latter shall be deemed null and void;
6° the power to set up working groups which, on its behalf, investigate a case or examine a specific issue.
